This Oyou User Agreement (hereinafter referred to as the “Agreement”) is a legally binding contract entered into between you (hereinafter referred to as the “User”, including individuals and legal entities) and OyouNebula (hereinafter referred to as “we”, “us” or “our”). It governs all matters related to your access to and use of the Oyou mobile application (hereinafter referred to as “Oyou” or “the Service”). Please carefully read and fully understand all terms of this Agreement before using the Service. If you do not agree with any term herein, you shall not download, install or use Oyou.
1.1 Purpose of the Agreement: This Agreement is formulated to clarify the rights and obligations between the User and us in the process of using the Service, and to protect the legitimate rights and interests of both parties and other users.
1.2 Incorporated Document: The Oyou Privacy Policy is an integral part of this Agreement. The User’s use of the Service shall be deemed as acceptance of all terms of the Oyou Privacy Policy.
2.1 Acceptance Method: The User’s act of downloading the Oyou application, installing it on a device, or accessing any function of the Service shall be deemed as unconditional acceptance of all clauses in this Agreement.
2.2 Authorization for Legal Entities: If the User uses the Service on behalf of a legal entity, the User shall confirm that they have obtained sufficient authorization to bind the legal entity to this Agreement, and “User” in this Agreement shall refer to such legal entity.
3.1 User Eligibility Requirements
3.1.1 The User must be at least 17 years old;
3.1.2 The User must have the legal capacity to enter into and perform this Agreement in accordance with applicable laws;
3.1.3 The User shall not be prohibited by local, national or international laws from using mobile applications of the same type as Oyou.
3.1.4 We reserve the right to verify the User’s eligibility at any time. If the User is found to not meet the above requirements, we may suspend or terminate the User’s access to the Service immediately without prior notice.
3.2 Account Management Rules
3.2.1 When registering a Oyou account, the User must provide true, accurate, up-to-date and complete information (including but not limited to email address, username);
3.2.2 The User is solely responsible for keeping the account’s login credentials (such as password, verification code) confidential, and shall bear all liabilities for any activities conducted under the account;
3.2.3 If the User suspects that the account has been accessed without authorization, they must notify us immediately to take protective measures. We shall not be liable for losses caused by the User’s failure to timely notify.
4.1 Data Consent: By using the Service, the User agrees that we may collect, use, store and process the User’s personal data and non-personal data in accordance with the Oyou Privacy Policy.
4.2 Security Measures: We will adopt security protection measures that meet industry standards (such as data encryption, access control) to safeguard the User’s information. However, we cannot guarantee absolute protection against data leaks, cyberattacks or other security incidents.
5.1 The User shall comply with all applicable laws, regulations and public ethics when using the Service, and shall not engage in the following behaviors:
5.1.1 Using the Service for illegal, fraudulent or malicious purposes (such as spreading illegal information, facilitating scams);
5.1.2 Uploading, sharing or transmitting content that infringes on the intellectual property rights (copyrights, trademarks), privacy rights or other legal rights of third parties;
5.1.3 Attempting to gain unauthorized access to Oyou’s backend systems, databases or other users’ accounts (such as hacking, phishing);
5.1.4 Disrupting the normal operation of the Service (such as uploading viruses, launching DoS/DDoS attacks);
5.1.5 Renting, selling or licensing the account or Service functions to third parties for commercial purposes without our permission.
5.2 Consequences of Violation: If the User violates the above provisions, we may take measures such as deleting illegal content, suspending account functions or terminating the account, and reserve the right to pursue legal liabilities.
6.1 User-Generated Content (UGC)
6.1.1 The User retains ownership of the original content (such as text, pictures, videos) created and submitted through the Service;
6.1.2 By submitting UGC, the User grants us a non-exclusive, global, royalty-free license to use, reproduce, modify, distribute and display the UGC for the purpose of operating, promoting and improving the Service.
6.2 Oyou-Owned Intellectual Property
6.2.1 All intellectual property rights related to Oyou (including but not limited to software code, interface designs, trademarks, logos) belong exclusively to us;
6.2.2 Without our prior written permission, the User shall not copy, modify, distribute or create derivative works of the above intellectual property.
7.1 Warranty Disclaimer: The Service is provided “as is” and “as available”, without any express or implied warranties. We do not guarantee that the Service will be uninterrupted, error-free or accurate.
7.2 Liability Limitation: Under no circumstances shall we be liable for direct, indirect, incidental, consequential or punitive damages arising from the User’s use of the Service, regardless of whether we have been informed of the possibility of such damages.
8.1 Modifications to the Agreement: We may revise this Agreement at any time. When making material changes, we will notify the User via in-app notifications or emails. The User’s continued use of the Service after the changes take effect means acceptance of the revised Agreement.
8.2 Termination of Service: We reserve the right to suspend or terminate the User’s access to the Service at our discretion, with or without prior notice, if the User violates this Agreement or the Service needs to be discontinued.
9.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where OyouNebula is registered.
9.2 Dispute Settlement: Disputes arising from this Agreement shall first be resolved through friendly negotiations between the parties. If negotiations fail, the disputes shall be submitted to arbitration in accordance with the rules of the relevant arbitration organization.
